Trade sales and acceptance

The Rug Curator LLC ("TRC," "we," "us") is a virtual luxury wholesale rug resource serving interior designers and approved trade professionals. We provide rug curation, custom design, private-label development, sourcing, manufacturing coordination, and delivery coordination as described in each accepted order.

"Purchaser," "Client," and "you" mean the business identified as the buyer in the accepted quotation or order confirmation. The individual accepting an order represents that they are authorized to bind that business. A designer purchasing in its own name remains responsible for payment and approvals regardless of its client's payment or preferences. Any different agency arrangement requires TRC's written acceptance.

These terms apply only when provided before the order is placed and expressly accepted by signature, electronic acceptance, or written confirmation identifying this version. Payment alone does not replace that acceptance procedure. An order becomes binding when TRC confirms acceptance in writing. A separately signed agreement controls over conflicting provisions here; the accepted quotation controls the specific commercial terms it expressly states. Purchaser purchase-order terms do not modify these terms without TRC's express written agreement.

TRC may revise these terms for future orders. Revisions do not retroactively alter an accepted order. Retain the version accepted for your order, final specifications, approval records, and change confirmations.

Ordering and production

Custom rugs and deposits

Custom, made-to-order, and private-label rugs are FINAL SALE for changes of mind, client preference, or project cancellation, subject to applicable law and the remedies below for breach or material nonconformity.

Deposit amounts, design and sampling charges, payment milestones, and the point at which production begins are stated in the accepted quotation. Design, sampling, or production begins only after the corresponding required payment and written approvals are received. Unless the accepted order states otherwise, the balance is due before shipment or release.

Deposits are nonrefundable to the extent reasonably necessary to cover lawfully earned work and recoverable cancellation losses. Receipt of a deposit does not automatically make the entire amount earned. Cancellation requires TRC's written agreement. If a cancellation is accepted or Purchaser breaches the order, TRC may recover legally permitted losses, including completed design work, sampling, committed materials, and noncancelable supplier obligations, subject to required mitigation and credits for avoided costs or resale. Payments already received are credited against those losses; TRC will not obtain double recovery. Any amount legally required to be returned will be refunded.

Rush services and any rush fee must be described in the accepted order. A rush request does not establish a guaranteed delivery date unless TRC expressly accepts a binding deadline in writing. Treatment of a rush fee if the service is not performed is subject to the agreed scope and applicable law.

Final specifications and approval delays

Purchaser must verify dimensions, units, shape, orientation, pattern direction, scale, colors, fiber composition, construction, pile height, finishing, quantity, and delivery instructions before approving the final specification. Purchaser is responsible for its site measurements, clearances, and client approvals. TRC remains responsible for carrying out the accepted specifications accurately.

The quotation or approval request will identify any deadline for finalizing open details. Delayed approvals, information, or payments may affect pricing, materials, manufacturer availability, and lead times. Any resulting price adjustment, substitution, or production change requires a written proposal and Purchaser's approval before work proceeds. An unresolved detail does not authorize TRC to impose a materially different product or price unilaterally.

Change orders

A Change Order is a Purchaser-requested revision to previously accepted specifications or scope, including design, color, materials, construction, dimensions, pattern direction, pile height, shape, border, finishing, delivery, or installation requirements. Finalizing details expressly left open in the accepted quotation is not itself a Change Order.

Changes are subject to manufacturing feasibility and TRC's written acceptance. TRC will disclose any administration fee, additional sampling or production cost, price adjustment, and revised schedule in a change confirmation for approval before proceeding. No automatic change-order fee applies unless expressly included in the accepted quotation or change confirmation.

A reduction in size or scope may not reduce the price because design, materials, or production costs may already be committed. Any refund or credit and its conditions must be agreed in writing, subject to applicable law. Mandatory refunds will not be converted into future-order credits.

Once production instructions have reached the manufacturer, requested changes may be impossible. Until TRC accepts a revised specification in writing, the existing approved specification remains controlling. Once a revision is accepted, TRC is responsible for coordinating its implementation; this clause does not excuse production contrary to an accepted change.

Strike-offs and renderings

A strike-off is a small pre-production sample used to assess specified colors, materials, texture, pile, construction, and design intent. We strongly recommend physical sampling for custom colors and patterns. Digital renderings cannot reliably establish exact color, sheen, texture, or finished appearance.

Sampling charges and estimated timing are stated in the quotation. Complex designs, ombré effects, revisions, and shipping may require additional time. No universal sampling fee or guaranteed sampling timeline is established by these terms.

If a strike-off materially fails to reflect the approved specifications, TRC will coordinate correction without charging Purchaser to correct TRC's or its production partner's error. If the sample conforms but Purchaser requests a new aesthetic direction, additional sampling and change-order charges may apply following written approval. Dissatisfaction based solely on a change of preference does not create a cancellation right; failure to supply conforming goods remains subject to lawful remedies.

The approval request will state the requested review deadline. Delayed review may change the schedule or availability. Material substitutions, changes in construction, or revised prices require written acceptance. If the agreed product cannot be supplied, the parties will address lawful cancellation and refund rights rather than automatically forfeiting all payments.

The final written specification must identify the controlling sample, approved color codes, and any agreed handmade variations. If Purchaser waives a strike-off in writing, it accepts disclosed uncertainty associated with digital selection. That waiver does not excuse unauthorized substitutions, faulty workmanship, or material departures from the accepted specification.

Materials and product suitability

Natural materials and handmade products

Handmade rugs may exhibit variations in dye lots, abrash, shading, texture, weave, pile direction, pattern placement, and dimensions within the accepted specifications and agreed tolerances. These characteristics contribute to the individual nature of a handmade rug and are not defects solely because they differ from a digital image.

Critical numerical specifications (dimensions, pile height, knot count) and any agreed tolerances are stated in the accepted quotation. Variations within agreed tolerances are not nonconformities. Variations outside agreed tolerances or contrary to the accepted specification are subject to the claims process below.

Purchaser is responsible for verifying that the specified fiber, construction, pile height, and backing are appropriate for the intended installation environment, traffic level, and use. TRC will provide available technical information on request. Suitability determinations for specific installations remain Purchaser's responsibility.

Cleaning, care, and maintenance

Cleaning and care requirements vary by fiber, construction, and finish. Purchaser is responsible for following applicable care instructions and ensuring that cleaning methods are appropriate for the specific rug. Damage caused by improper cleaning, inappropriate cleaning products, or failure to follow care instructions is not covered under any warranty or goodwill adjustment.

TRC is not responsible for damage caused by cleaning services independently arranged by Purchaser or its client. A goodwill contribution to cleaning costs does not admit liability or expand any warranty.

Delivery and inspection

Estimated lead times are stated in the accepted quotation and are estimates, not guarantees, unless TRC expressly accepts a binding delivery date in writing. Lead times may be affected by manufacturing, materials, customs, carrier delays, and circumstances outside TRC's reasonable control. TRC will communicate known delays promptly and work to minimize their impact.

Delivery to Purchaser's designated warehouse or receiver constitutes delivery to Purchaser for delivery and risk purposes, subject to the accepted freight terms and applicable law. It does not automatically establish that goods conform or waive concealed-defect claims.

Purchaser must instruct its receiver to inspect packaging on arrival, record visible damage on the delivery receipt, and photograph packaging, labels, the entire rug, and affected areas. The rug should be unpacked and inspected within 48 hours of delivery whenever reasonably practicable, including warehouse delivery. Apparent damage, shortages, or nonconformity should be reported in writing to [email protected] within that period.

Subsequent transport, handling, storage, cleaning, and installation independently arranged by Purchaser are Purchaser's responsibility. TRC is not responsible for damage caused by those activities. Claims will be assessed against the available evidence.

Additional steaming or conditioning after extended storage may be a separately charged service. Treatment must be appropriate for the fiber and construction and should not proceed on a disputed rug without written instructions.

Payment

Accepted payment methods, quote validity, deposits, balances, taxes, and any payment-method price difference are stated in the quotation or invoice. These terms do not impose an automatic 3% card adjustment, 30-day quote period, or monthly late fee. Any such commercial term must be separately disclosed, accepted, and lawful.

Unless the accepted order states otherwise, the balance is due before shipment or release. Purchaser's client disputes or delayed client payment do not excuse Purchaser's obligations. Purchaser must promptly identify disputed amounts and pay the undisputed balance. Lawful payment disputes and statutory rights remain available.

After written notice, TRC may suspend work or release for overdue undisputed amounts. Any interest, collection costs, attorneys' fees, storage charges, or other recovery must be expressly agreed where required and permitted by applicable law. Late payment does not automatically authorize total deposit forfeiture or remove TRC's duty of reasonable care for goods it holds.

Claims, warranties, and legal terms

Inspection and claims

Follow the 48-hour inspection and apparent-claim procedure above. Preserve packaging and evidence. Avoid use, installation, alteration, or cleaning of affected goods pending instructions, except reasonable measures necessary to prevent further damage.

The 48-hour procedure supports evidence preservation and carrier recovery; it does not automatically waive concealed defects, latent defects, or rights preserved by law. Notify TRC within a reasonable time after discovering or reasonably being expected to discover another defect or breach.

Warranty

TRC warrants that goods will conform to the accepted written specifications and be free from defects in materials and workmanship under normal use. This warranty does not cover variations within agreed tolerances, natural material characteristics disclosed before order, damage caused by improper use, cleaning, installation, or storage, or normal wear.

Warranty claims require written notice, reasonable opportunity to inspect, and cooperation in the claims process. Remedies for a valid warranty claim may include repair, replacement, or a reasonable price adjustment, as appropriate under the circumstances and applicable law. Consequential, incidental, and indirect damages are excluded to the maximum extent permitted by applicable law.

Limitation of liability

To the maximum extent permitted by applicable law, TRC's total liability for any claim arising from or related to an order is limited to the amount paid by Purchaser for the goods or services giving rise to the claim. This limitation does not apply to claims that cannot be limited by law.

Governing law and disputes

These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. The parties will attempt to resolve disputes in good faith before initiating formal proceedings. Nothing in these terms prevents either party from seeking emergency injunctive or other equitable relief to prevent irreparable harm.

Confidentiality

Each party will keep the other's non-public business information, pricing, designs, and client information confidential and use it only for the purposes of the order. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Force majeure

Neither party is liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, pandemics, government actions, labor disputes, or supply-chain disruptions, provided the affected party gives prompt written notice and uses reasonable efforts to mitigate the impact. Sustained force majeure events may give rise to cancellation rights subject to applicable law.

Care and maintenance guidance

Rotate rugs periodically to equalize wear. Use a rug pad appropriate for the floor type and rug construction. Vacuum regularly using appropriate settings for the pile type. For both hand-tufted and hand-knotted rugs, the safest starting point is low suction with the rotating brush or beater bar switched OFF. Keep the vacuum away from fringe, bound edges, and loose yarns. - Use extra-low suction on silk, viscose, loop pile, and raised patterns. If the head grips the rug or pulls fibers, stop and reduce suction. Address spills promptly using methods appropriate for the fiber. For significant soiling, professional cleaning is recommended; verify that the cleaner has experience with the specific fiber and construction.

Prolonged direct sunlight may cause fading in natural and synthetic fibers. Humidity and moisture can affect natural fibers. These are characteristics of the materials, not product defects, and are not covered under warranty absent a specific written representation.

TRC may offer care guidance as a courtesy. That guidance does not constitute a warranty that following it will prevent all damage or that the rug is suitable for all environments. Stain removal is not guaranteed unless expressly promised. A goodwill service or contribution to costs does not alone admit liability, expand the warranty, or release existing rights.
